(b)Annual membership: $1,300 AUD paid upfront for 12 months of access. Annual membership includes one bonus one-hour 1:1 session with Em Gee. The Client agrees to keep their payment details up to date.

To get the most out of the Program, you must implement the tools and strategies learned and make considerable effort towards your own personal and professional development in your own time. You are responsible for requesting support from us if needed.

4. Term

The term of this Agreement begins on the date of first payment for The Biz Rebelution and continues until cancelled by you in accordance with clause 5, or until the Company terminates the Agreement.

5. Cancellation and Refunds

We make no guarantees other than that the Services described in clause 1(a) will be provided to you in accordance with these Terms and Conditions. You acknowledge that we cannot guarantee any results, including time saved or revenue generated, as these outcomes depend on factors (including, but not limited to, your participation and implementation) that we cannot control.

7. AI Tools and Outputs

(a)The Program teaches and demonstrates the use of third-party artificial intelligence (AI) tools and software, such as Claude, ChatGPT and others. These tools are owned and operated by third parties. Unless stated otherwise, the Company is not affiliated with these providers and is not responsible for their tools, terms, data practices or performance.

(b)Third-party tools may change their features, pricing, availability or terms at any time. You are responsible for your own accounts, subscriptions and associated costs, and for reviewing each provider’s terms and privacy policies.

You are solely responsible for reviewing, editing and verifying any AI outputs before using or publishing them, and for ensuring your use of AI complies with applicable laws, including privacy, consumer and intellectual property laws.

8. No Professional Advice

The Services are educational in nature. Enrolment and participation in the Program does not create a lawyer-client, financial adviser, accountant or other professional advisory relationship between you and the Company, its founder, employees or contractors, unless we enter into a separate written agreement with you for those services. Any legal, financial, tax or other information shared during the Program is general information only and is not professional advice. You rely on such information at your own risk and should seek independent professional advice for your circumstances.

(c)You must not record, download, share or distribute any session or recording without the Company’s written permission.

10. Member Wins and Testimonials

(a)We love celebrating our members. By sharing wins, results, feedback or testimonials in the Facebook group, during live sessions or directly with us, you give the Company permission to share them in our marketing, including on social media, email, our websites and in presentations. This may include your first name, business name, photos and screenshots you have shared.

(b)We will never share anything you have marked as private or confidential, and we will not share your personal contact details.

(c)You can opt out at any time by emailing [email protected]. Once you opt out, we will not use your content in any new marketing, and we will make reasonable efforts to remove it from existing material where practicable.

11. Confidentiality

Confidential Information does not include information which (i) becomes publicly available through no breach of confidentiality by the Company, (ii) was in the Company’s possession prior to disclosure, (iii) is received by the Company independently from a third party free to disclose it, or (iv) is independently developed by the Company without use of the Client’s Confidential Information.

(b)Participant information: The Client agrees to keep confidential any Confidential Information shared by fellow members of the Program (“Participants”), whether during live sessions, in the Facebook group or otherwise. Confidential Information shared by Participants belongs solely to the Participant who disclosed it. The Client agrees not to disclose, reveal or make use of it other than in discussion with other Participants within the Program, and will use best efforts to safeguard it against disclosure, misuse, loss and theft.

(c)Company information: The Client agrees to keep confidential any Confidential Information shared by the Company, its employees or contractors in the Program. Such information belongs solely to the Company. The Client agrees not to disclose, reveal or make use of it other than in discussion with other Participants within the Program, and will use best efforts to safeguard it against disclosure, misuse, loss and theft.

(d)Non-disparagement: The Client agrees, during and after participation in the Program, to refrain from making defamatory statements to any third party regarding the Company or any of its officers, directors, employees, contractors, agents, policies, services or products, other than to comply with law.

(e)Breach of confidentiality: If the Client breaches, or shows a likelihood of breaching, this clause 11, the Company and/or the affected Participant(s) will be entitled to seek injunctive relief to prevent or stop the breach.

12. Relationship of the Parties

Nothing in these Terms and Conditions creates an employment, partnership, agency or joint venture relationship between the Company and the Client. The Company retains sole discretion over the manner and means of delivering the Services and remains free to provide similar services to others.

13. Ownership of Intellectual Property

The Client agrees that the Program contains proprietary content, including training videos, recordings, written materials, prompts, templates, workflows, skills, plugins and other resources (“Intellectual Property”), owned solely by the Company and/or its licensors and protected by copyright, trademark and other applicable intellectual property laws. The Company retains the sole right to use, reproduce and distribute the Intellectual Property worldwide in any medium.

The Company grants the Client a non-exclusive, non-transferable licence to use the Intellectual Property solely within the Client’s own business while a member. The Client has no right to share, reproduce, distribute, modify, translate, post, license, sell, loan or otherwise exploit the Intellectual Property, or to create derivative products such as courses, guides, worksheets, toolkits, prompt packs, templates, videos, audio recordings or similar based on it, whether commercially or non-commercially. Any registered or unregistered trademark, logo or tagline used in connection with the Program, including The Biz Rebelution and AI Marketing Machine®, is the property of the Company and may not be used without written permission.

14. Warranties

(b)Client’s warranties: The Client warrants that they have full authority to enter into these Terms and Conditions and have, or will obtain, all consents, rights and permissions necessary to meet their obligations under them.

(c)Except for the warranties expressly set out in these Terms and Conditions, and any guarantees that cannot be excluded under the Australian Consumer Law, neither party makes any other warranties, express or implied.

15. Limitation of Liability

(a)To the maximum extent permitted by law, the Company will not be liable to the Client for any lost profits, loss of use, business interruption, costs of procuring substitute goods or services, or any indirect, special, incidental, exemplary, punitive or consequential damages, however caused, whether in contract, tort or any other theory of liability, even if advised of the possibility of such damage.

(b)To the maximum extent permitted by law, the Company’s total liability to the Client will not exceed the fees paid by the Client under these Terms and Conditions in the 12 months before the claim arose.

(c)The limitations in this clause 15 do not apply to a breach of clause 11 (Confidentiality), clause 13 (Ownership of Intellectual Property) or clause 23 (Recovery of Costs), and do not limit any rights you have under the Australian Consumer Law.

16. Effect of Headings

The headings in these Terms and Conditions are for convenience only and do not affect their interpretation.

17. Entire Agreement; Modification; Waiver

These Terms and Conditions constitute the entire agreement between the parties on their subject matter and supersede all prior agreements, representations and understandings. Except as set out in clause 19, no modification is binding unless made in writing. No waiver of any provision is a waiver of any other provision or a continuing waiver, and no waiver is binding unless made in writing by the party giving it.

18. Neutral Construction

These Terms and Conditions were prepared by the Company. They will not be construed against the Company merely because it prepared them; each provision will be interpreted fairly to both parties.

19. Changed Terms

We may amend these Terms and Conditions at any time. Amendments take effect when we notify you by posting the updated Terms and Conditions on the Site. Your continued use of the Site or Services after notification means you accept the amendments. Any amendment will not change the price you are locked in at under clause 2(d). The most recent version will be posted on the Site with its effective date.

20. Assignment

These Terms and Conditions are binding on, and benefit, the parties and their respective legal representatives, successors and permitted assigns. Memberships are personal to the Client and may not be assigned, transferred or shared with another person without the Company’s written consent.

These Terms and Conditions are governed by the laws of the State of Western Australia, Australia. The parties agree to first attempt to resolve any dispute, claim or controversy arising out of or relating to these Terms and Conditions by good faith negotiation. Good faith participation in negotiation is a condition precedent to pursuing any other legal or equitable remedy, including litigation, arbitration or other dispute resolution procedures.

23. Recovery of Costs

If any legal action, arbitration or other proceeding is brought to enforce these Terms and Conditions, or because of an alleged dispute, breach, default or misrepresentation in connection with them, the successful party is entitled to recover its reasonable legal fees and other costs incurred, in addition to any other relief to which it may be entitled.
